Domain Name Registration Agreement
This Domain Name Registration Agreement (the “Agreement”) is entered into by and between Microvera Limited (“Microvera”, “we”, “us”, or “our”) and you, the registrant (“you”, “your”, “User”, or “Customer”), effective upon your electronic acceptance. By using Microvera’s domain name registration services, you acknowledge and agree to the terms set forth in this Agreement, along with:
- Microvera’s Terms of Service,
- Applicable policies and requirements of the top-level domain (“TLD”) in which you register, and
- Plan limits, product disclaimers, or other restrictions presented on Microvera’s website.
By accepting this Agreement, you agree to keep your account information current, including your email address. Microvera is not liable for missed notices due to inaccurate or outdated contact information.
1. Overview
This Agreement defines the terms of domain name registration services provided by Microvera. Your continued use of these services constitutes your acceptance of any updates to this Agreement, which may be modified at Microvera’s sole discretion. Changes will be effective immediately upon posting on our website.
Definitions
- Registry Operator: Entity managing the domain’s registry.
- Registry Policies: Policies applicable to your domain registration, which you are required to review and comply with.
- TLD: Top-level domain, such as .com or .org.
2. General Provisions
Registry Policies
You agree to abide by all policies set by the applicable Registry Operator for your TLD. It is your responsibility to review these policies prior to registration. The Registry Operator is a third-party beneficiary to this Agreement with rights that survive its termination.
Registration Requirements
By registering a domain, you represent and warrant:
- All information provided is true, complete, and not misleading.
- You meet the eligibility criteria for the TLD.
- You understand your domain registration may be challenged.
- The registry or registrar may cancel your registration if your information is found to be false.
Ownership
Domain registration does not grant you proprietary rights over the domain name. You may not transfer, sell, or use the domain name as collateral for financial transactions.
Indemnification
You agree to indemnify and hold harmless the Registry Operator, Microvera, and their affiliates from all claims arising from your domain registration or use.
Third-Party Beneficiary
The Registry Operator for your TLD is an intended third-party beneficiary of this Agreement.
3. Fees and Payments
General Terms
You agree to pay all fees associated with your domain registration. Fees are subject to change and are non-refundable.
Renewal Options
- Automatic Renewal: Unless disabled, your domain will automatically renew for the original registration term using your saved payment method.
- Manual Renewal: If automatic renewal is disabled, you must manually renew the domain before its expiration. Failure to renew on time will result in domain expiration.
Redemption Period
If your domain enters the Redemption Grace Period due to non-renewal, you may redeem it by paying applicable fees. Redemption fees vary by TLD and are listed on our website.
4. Agreement Term and Transfers
This Agreement remains in effect as long as you have an active domain registered through Microvera. Domains cannot be transferred to another registrar within the first 60 days of registration.
5. Contact Information and Updates
You must provide accurate and up-to-date contact information, including a valid email address and phone number. Failure to maintain accurate information or respond to inquiries within five business days may result in suspension or cancellation of your domain.
6. Dispute Resolution Policy
You agree to abide by Microvera’s Dispute Resolution Policy, which may be updated from time to time. It is your responsibility to review updates on our website. If you terminate services due to a policy change, no fees will be refunded.
7. Your Obligations and Suspension
General Obligations
- Your domain name use must not infringe upon the rights of others.
- You must comply with applicable laws and maintain necessary licenses or authorizations.
Suspension or Termination
Microvera reserves the right to suspend or cancel services if:
- Your domain is used for illegal or harmful activities (e.g., malware, phishing, trademark infringement).
- You violate this Agreement or fail to resolve a breach within 10 business days of notification.
8. Service Restrictions and Right of Refusal
Microvera reserves the right to refuse service, cancel a domain registration within 30 days, or suspend services if your domain is associated with harmful or illegal activities.
9. Domain Add-Ons
DNS Management
Microvera provides DNS tools to manage domain settings. Service interruptions due to scheduled maintenance, custom scripting, or factors beyond Microvera’s control are excluded from the 99.9% uptime guarantee.
Service Uptime Guarantee
Paid services include a 99.9% uptime guarantee. Downtime due to scheduled maintenance, third-party software, or unforeseen circumstances does not qualify for service credits.
10. Limitation of Liability
Microvera is not liable for:
- Loss of domain registration due to non-renewal.
- Downtime, data loss, or damages resulting from unauthorized access.
- Actions taken to comply with court orders or laws.
Liability is limited to the amount paid for the domain registration.
11. Indemnification
You agree to indemnify Microvera and its affiliates against any claims, damages, or expenses arising from your domain registration or use.
12. Force Majeure
Microvera is not responsible for service interruptions caused by events beyond its control, such as natural disasters, government actions, or technical failures.
