Domain Registrant Agreement

This agreement outlines the terms and conditions between Microvera Ltd (“Registrar”) and you, the registrant (“you,” “your,” or “Registrant”), for domain name registration, reservation, transfer, and related services (“Order”). By registering or transferring a domain name or related services, you agree to be bound by this agreement.
1. Overview
If you enter into this agreement on behalf of an organization or entity, you confirm that you have the authority to bind that entity to these terms. This agreement is effective when your Order is activated and remains in effect while the Order is active. Registrar reserves the right to accept or reject any Order at its sole discretion.
2. Definitions
- Business Day: Monday to Friday, excluding public holidays.
- Registrar: The authorized domain registration provider.
- OrderBox: The system comprising servers, software, and interfaces provided by Registrar for managing domain services.
- Registry Operator: The organization managing the domain’s registry.
- Whois Record: The public database containing registrant information, contact details, and domain status.
3. Obligations of the Registrant
You agree to:
- Provide accurate and updated Whois Record details throughout the Order’s term.
- Maintain records of communications and transactions related to the Order for three years.
- Ensure compliance with Registrar’s and Registry Operator’s policies.
Failure to provide accurate information or respond to inquiries within five days may result in suspension or deletion of your Order.
4. Representations and Warranties
Both parties warrant that:
- They have the authority to enter into this agreement.
- This agreement is legally binding and does not conflict with any laws or obligations.
The Registrant confirms they have reviewed and understood the agreement and are eligible to enter into it under applicable laws.
5. Rights of Registrar and Service Providers
Registrar reserves the right to:
- Modify, transfer, or suspend an Order upon receiving authorization or in cases of breach.
- Share Order information as necessary with Registry Operators, Service Providers, or as required by law.
- Deny, cancel, or suspend services without notice for breaches or as mandated by applicable laws or authorities.
6. Dispute Process
In the event of disputes concerning domain usage:
- The Registrant agrees to adhere to the applicable dispute resolution policies.
- Registrar will comply with decisions from judicial or administrative bodies.
7. Term and Renewals
This agreement remains in effect while the Order is active. Renewal notifications may be sent as a courtesy, but it is the Registrant’s responsibility to ensure timely renewal. Expired Orders may be suspended, transferred, or deleted at Registrar’s discretion.
8. Fees and Payments
All fees and payments are governed by the Registrar’s payment terms. Registrants are responsible for timely payments to avoid interruptions or cancellations.
9. Intellectual Property
Each party retains ownership of its intellectual property. Registrants are responsible for ensuring their domain use does not infringe on third-party rights.
10. Limitation of Liability
Registrar is not liable for:
- Losses due to service interruptions, unauthorized access, or data inaccuracies.
- Indirect, incidental, or consequential damages.
Registrar’s liability is limited to the fees received for the affected Order.
11. Indemnification
You agree to indemnify Registrar, Registry Operator, and Service Providers against claims arising from:
- Use of the Order.
- Breaches of this agreement.
- Violations of intellectual property or other legal rights.
12. Ownership and Data Use
Registrar owns the data within its systems and reserves the right to process, share, or publish it as needed for compliance or service fulfillment.
13. Force Majeure
Registrar is not liable for delays or non-performance caused by events beyond its control, including natural disasters, government actions, or technical failures.
14. Termination
This agreement may be terminated if:
- Registrar’s contracts with Service Providers or Registry Operators end.
- The Order expires or is transferred.
- Either party breaches the agreement.
15. Publicity and Marketing
You agree that Registrar may use your name for promotional purposes unless otherwise specified.
16. Jurisdiction
This agreement is governed by the laws of the Registrar’s jurisdiction.
Appendix A: OrderBox Usage
- Access to the OrderBox is controlled by authentication credentials.
- Registrar reserves the right to suspend access for misuse or to ensure system stability.
- Users must protect authentication details and prevent unauthorized access.
